Engagement Summary

The Client wishes to offer the Consultant a dynamic and key role with a flexible Fees Schedule for the job title of =this.job-title and responsibilities to deliver the Scope of Engagement below starting =this.start-date or as agreed by the Parties. The scope will at least include: Digital Marketing Services - Expire 2024-08-15, Administrative Support Services, and Ai Product Services.

Scope of Engagement

The Consultant will deliver the following consulting services “Services” or “Flexpacks” reprioritized P1 to P5 by the Client on the project board not more than once every 10-13 weeks:

Fees Schedule

The Parties agrees the following alternating-week fee schedule subject to the Krono.Works Retainer Policy as outlined below. The Consultant gets to schedule which weeks are Flex-Week and Off-Week with the Client unless the VIP Balance is reached.

Administration

The Client and Consultant appoint ✨Krono.Works as Administrator of this engagement, subject to acceptance of the appointment by its authorized representative. The Administrator shall receive and disburse payments per the Krono.Works Retainer Policy, keep financial records, track performance, and manage financial reporting compliance with tax authorities. Each Party shall be responsible for any taxes levied on their respective incomes and revenue received.

Payment Terms

The Client shall pay the Consultant through Krono.Works/Ricardiam via the following payment link or according to the invoice instructions. Effective Date of this engagement shall be as of payment date of the retainer.

Performance Bonus

The Consultant you will be eligible for an quarterly performance bonus. This bonus is contingent upon achieving predefined goals and benchmarks, which will be evaluated every 3-6 months. The specifics of these performance targets and the calculation of the bonus amount will be detailed in a separate document.

Equity Grant

To align the interests and rewards of long-term commitment and contributions to EmploLink, the Consultant may be granted equity in the company. This equity grant will vest quarterly over 3-5 years, beginning on the start date, with an early exercise clause, subject to the terms and conditions outlined in our Equity Incentive Plan. Detailed information regarding the quantity of equity granted, vesting schedule, and any applicable performance criteria will be provided separately.

Engagement Terms

Principled Resolution

The Parties adopt the Principles of Peacemaking as if fully set forth herein, without any exclusion or limitation, as the Primary Dispute Resolution (PDR).

Adoption of MNDA

The Parties adopt the Benson Confidants - Signal MNDA 24-03 as if fully set forth herein, without any exclusion or limitation.

Intellectual Property

Upon complete and final payment services, Clients shall gain independent ownership of the final compiled work deliverables, excluding stock photos, source codes, platforms, etc, which remain with their respective owners. Nothing in this engagement shall be construed as granting any rights under any patent, copyright or other intellectual property right of any Party, nor shall this letter grant a Party any rights in or to the Other Party’s confidential information, except for the limited right to use the confidential information in connection with the consulting services. However, if and to the extent that either Party jointly or solely conceives, develops or reduces to practice any new inventions, original works of authorship, developments, concepts, know-how, improvements, trade secrets, or other intellectual property, whether or not patentable or registrable under patent, copyright, trademark, or similar laws (collectively, “Intellectual Property”), which clearly relates to the other Party’s business or technology and were created by a Party and disclosed for use by the other Party as part of the disclosing Party’s performance under this engagement, the disclosing Party shall grant, and hereby grants an irrevocable, perpetual, worldwide, royalty-free, non-exclusive, non-transferable license to the Intellectual Property. The Consultant shall be deemed to have constructively granted such license as of the time that the Consultant first provided the solution.

Background Checks & Character References

To ensure the safety and integrity of our team and engagement, the Parties shall undergo a criminal background check and provide character references within the first 90 days of this engagement. If you’ve completed a similar check within the past six months through a reputable third-party provider, you may share those results as an alternative. This process is crucial for upholding our commitment to a secure and trustworthy work environment.

Acceptance & Kickoff

You accept this engagement letter by Paying Account Retainer and booking the Executive Interview or Kickoff Call. This letter signifies the beginning of what we believe will be a rewarding partnership, bringing together your unique talents with EmploLink’s resources and vision for the future.
