Scope of Services
The Retainer Fee grants Clients access to coaching, consulting, and architecting services and other services as agreed in a mutually accepted engagement letter.
Retainer Fee
Clients are required to maintain a monthly retainer fee of =this.monthly-minimum to access direct active support from the Consultant(s). This ensures Clients receive priority access and dedicated support services.
Maintaining Retainer Balance
To continue receiving active support, Clients must ensure their Retainer Fee balance does not fall below =this.monthly-minimum monthly.
VIP Retainer Amounts
To continue receiving VIP-Client support, Clients must ensure their Retainer Fee balance reaches at least =this.vip-high-watermark once per month.
Service Fees and Adjusted Costs
Services are invoiced at rates ranging from =this.rate-range, reflecting the service complexity, required expertise, and other pertinent considerations. The specific hourly rate applicable to each Client will be established in the service agreement or engagement letter. It is important to note that these rates will be subject to an additional cost adjustment of 10-20% to cover administrative and operational expenses. Clients will be informed in advance of any rate adjustments, ensuring transparency and allowing for proper planning and budgeting.
Billing Cycle and Increments
Clients will be invoiced bi-weekly for services rendered in the preceding two weeks. Services are invoiced in increments of fifteen (15) minutes.
Subcontractors
Consultant(s) may assign subcontractors to the transition project with work remaining confidential to the Clients. Default MNDA: WikiWe Confidants’ MNDA
Payment Terms
Subject to Krono.Works Invoicing Policy.
Business Costs & Expenses
Services outside the standard account management retainer may incur additional costs, agreed upon by the Consultant(s) and the Client. Business expenses paid for by the Consultant(s) will be invoiced to the Client for actual costs plus a 10% administration fee. Client shall issue one or more Consultant(s) a virtual spend card or method to pay for accounts.
Termination
Services may be discontinued by any party if there is a record of an unresolved claim for 30 days in accordance with the Principled Resolution Promise. Any unused Retainer Fee may be refunded on a pro-rata basis, considering transition costs.
Performance Conditions
Consultant(s) are not liable for delays or cancellations caused by conditions beyond their control, internet outages, and Acts of God.
Transition
Upon final payment of transition services, Clients shall gain independent ownership of the final compiled work, directory and log of accounts, excluding stock photos, source codes, and programs, which remain with their respective owners.
Primary Dispute Resolution
In the spirit of fostering a constructive and cooperative partnership, the parties dcommit to resolving any disputes arising under or in connection with this Policy through a process of principled resolution, based on the following commitments:
- Protected Communication: The parties agree to express any concerns or disputes promptly and by way of secure and protected communication channels, without delay, allowing for a timely attempt at resolution.
- Principled Negotiation: The parties commit to engage in negotiations in good faith, focusing on principles rather than positions, exploring mutually beneficial options, and aiming for outcomes that respect the interests of all parties.
- Conciliation: If a dispute cannot be resolved through direct negotiation within 30 days, the parties agree to engage in conciliation with the assistance of or appointed by a neutral third-party Principled Peacemakers 🕊️. The goal of conciliation will be to facilitate a voluntary, mutually agreeable resolution. Costs associated with conciliation, mediation, and arbitration shall be shared equally between the parties.
- Meetings and Approvals: The parties are encouraged to meet as often as needed, respond to issues and approvals promptly, and adopt Cal.com if scheduling conflicts occur.
- Preservation of Relationship: Throughout the dispute resolution process, the parties commit to maintaining the integrity of their business relationship and contractional commitments, seeking solutions that address the issue at hand while preserving the future of their professional engagement.
- Confidentiality: All discussions related to the dispute resolution process shall be kept confidential and used solely for the purpose of achieving a resolution by and through WikiWe Confidants 🤐.
- Binding Arbitration: As a last resort, if mediation does not result in a resolution, the parties agree to submit the dispute to binding arbitration. The arbitration shall be conducted by a single arbitrator, chosen mutually by the parties, and the proceedings shall be held in WikiWe Confidants 🤐 channel or a private conference link. The decision rendered by the arbitrator shall be final and binding on the parties. Each party will be responsible for its own arbitration costs, and the parties will share the arbitrator’s fees equally.
- Extended Arbitration: If a Party is not satisfied with the outcome of binding arbitration, they have 30 days to file an arbitration review with a panel of 3 neutral, competent, and willing arbitrators. The ordering arbitrator will have 30 days to reply to to the panels determination before awards are finally granted. One or more Parties may share this Extended Arbitration expense, but the cost will be born by the petitioning parties.
- Governing Law: This dispute resolution process shall be governed by the United States of America under the WY IDR 24-03, without regard to its conflict of law provisions.

Changes

Confidentiality
Any portion of this content that is shared by either of the Parties with the other Party and marked as confidential shall be treated as confidential under the WY IDR 24-03.
