Benson Data Room Agreement 23.11

This Agreement is made as of the date undersigned by the Respondent and Petitioner, collectively referred to as the “Parties”.

Recitals

The Parties, engaged in the dissolution of their sacred bonds of cooperative coparenting and related matters, wish to establish a joint data room with varied access levels for legal counsel, private data collection and disclosure, family history, and public document filing.

Establishment of Joint Data Room

The Parties will establish a joint data room (“Data Room”) for information and document exchange related to their case and children, classified into three areas:

  • Publicable: Accessible for filing documents with the court.
  • Confidential: For private data collection and disclosure exchange.
  • Privileged: Exclusively for privileged communications and work products.

Data Room Location & AI Expense Sharing

Information in the Data Room will be stored in a password-protected shared space, ensuring secure and organized data management. AI prompts and outputs will only be discoverable and admissible if costs are shared equitably by Parties. Expenses may be covered by a Family Support Trust

Secure Access Channels

For secure communication, the Parties and their dissolution representatives agree to use channels and platforms, and discuss them at least annually to maintain alignment and accurate records for administering joint legal custody:

  • Signal (P2P Encrypted): For confidential, sensitive notices and consent verification.
  • Email (Maybe Encrypted): For general updates and correspondence. AI ok.
  • Zoom (Maybe Encrypted): For virtual meetings and discussions. AI ok.
  • Cal.com (Maybe Encrypted): For coordinating and scheduling. AI ok.

Term and Wrap-up

This Agreement will proceed through three phases. A certificate of service shall be filed with the court when the parties agree to change the phase.

  • Litigation Phase: From the Effective Date to the onset of conciliation.
  • Good-faith Conciliation Phase: Commences with mutual agreement and continues through settlement discussions.
  • Maintenance Phase: Post-settlement, focusing on cooperative data sharing and Data Room management.

Issue Escalation

Any use of AI in mediation, correspondence, or case file analysis will be disclosed. The Data Room and Secure Access Channels will serve as primary means for resolving any related and reserved issues.

Annual Financial Declarations

The Parties agree to annually exchange comprehensive financial declarations until all financial obligations related to the Matter have been settled. These declarations are intended to provide a detailed and transparent view of each party’s financial situation and balance budget and distributions. The Parties must exchange these declarations within 90 days of each calendar year-end or on a mutually agreed-upon date.

Choice of Law and AI Disclosure

This Agreement is governed by the laws of Utah and in accordance with Utah-Matthew PDR 23.11. Any use of AI in the process will be transparently disclosed.
