The undersigned persons (the “Parties”) wish to explore collaboration under a mutual non-disclosure agreement with further terms and conditions as provided in this Joint Prospecting Agreement (the “Agreement”). One or more of the Parties is not a member of WikiWe.org.
Purpose
The Parties wish to explore further collaboration for the purpose of evaluating and clarifying division of benefits, business opportunities, resource availability, proprietary products, and/or VIP services.
Primary Dispute Resolution
The Parties adopt the Principles of Peacemaking as if fully set forth herein, without any exclusion or limitation, as the Primary Dispute Resolution (PDR).
Mutual Non-Disclosure Agreement
The Parties adopt the WikiWe Confidants’ MNDA (MNDA) as if fully set forth herein, without any exclusion or limitation.
Notice
Notice is effective when made via WikiWe Confidants 🤐, or later specified in effective written notice provided, or by other notice with acknowledgement of receipt.
Intellectual Property
No transfer of intellectual property (IP) is intended or agreed to. A limited royalty-free cross-license to the Confidential Information is granted by the parties to each other for the purpose stated above, which license is automatically revoked upon completion or termination of this Agreement or the MNDA.
This Agreement neither establishes a partnership nor imposes any restrictions on competition, either explicitly or implicitly.
Completion
If and when the Parties agree to a subsequent written agreement providing for further collaboration with division of benefits, this Agreement shall be deemed completed and replaced by said subsequent agreement.
Termination
The Agreement is terminable at will by any of the Parties by effective notice as provided herein, specifically referencing this Agreement and termination.
