Privileged Engagement Letter CONFIDENTIAL INFORMATION - JustIN MNDA 23.11 Required Context The undersigned persons (the “Parties”) wish to collaborate on Privileged Work Product under a mutual non-disclosure agreement and supervision of a bar-licensed attorney and further terms and conditions as provided in this🪓 Privileged Engagement Letter (the “Agreement”). One or more of the Parties is not a member of WikiWe.org.
Adoption of Mutual Non-Disclosure Agreement The Parties adopt the 🤐 WikiWe Confidants’ MNDA as if fully set forth herein, without any exclusion or limitation.
Purpose The Parties wish to collaborate on Privileged Work Product to protect the security designs in implementing the Benson Data Room Agreement.
Scope of Work Product The Consultant will offer the following services to the Client:
Keep all attorney-client records, documents, communications, and performances orderly and accessible via Vault.Krono.Works. Provide email routing, AI-processing, and retention policy Record, transcribe, and summarize all related meetings and summarize on weekly reporting cycle using EchoScribe. Handle AI/ML/Bots ethically and in accordance with the 🕊️ Principled Peacemakers Compact. Provide Certificate of Delivery for Work Product Delivery Statement at the completion of the Privileged Work Product. Confidentiality and Privilege The services provided under this engagement will be conducted with utmost confidentiality. All information disclosed during the course of this engagement will be kept confidential and will not be disclosed to any third party without prior written consent, except as required by law. It is understood that the work product developed as a result of this engagement is for the purpose of providing legal advice on IP labeling, confidentiality, and information classification and is therefore privileged.

Fees Schedule The Consultant agrees the following fee schedule for the services designated by the Administrator.
END OF PRIVILEGED INFORMATION Administrator The Client and Consultant appoint Ricardiam DAO LLC as Administrator of this Agreement, subject to acceptance of the appointment by its authorized representative.
The Administrator shall receive and disburse payments per this Agreement, keep financial records, track performance, and manage financial reporting compliance with tax authorities. Each Party shall be responsible for any taxes levied on their respective revenue share received.
Intellectual Property Nothing in this Agreement shall be construed as granting any rights under any patent, copyright or other intellectual property right of any Party, nor shall this Agreement grant a Party any rights in or to the Other Party’s confidential information and privileged information, except for the limited right to use the confidential information in connection with the consulting services.
However, if and to the extent that either Party jointly or solely conceives, develops or reduces to practice any new inventions, original works of authorship, developments, concepts, know-how, improvements, trade secrets, or other intellectual property, whether or not patentable or registrable under patent, copyright, trademark, or similar laws (collectively, “Intellectual Property”), which clearly relates to the other Party’s business or technology and were created by a Party and disclosed for use by the other Party as part of the disclosing Party’s performance under this Agreement, the disclosing Party shall grant, and hereby grants an Administrator-revocable, perpetual, worldwide, royalty-free for non-commercial use, non-exclusive, non-transferable license to the Intellectual Property, and in the absence of an express license, the Consultant shall be deemed to have constructively granted such license as of the time that the Consultant first provided the solution.
Termination This Agreement may be terminated by either party upon thirty (30) days written notice with a 🔏 Witness of Consent Affidavit. In the event of termination, the Client shall pay the Consultant for any work completed up to the date of termination.
Integrated Agreement This Agreement (incorporates the 🤐 WikiWe Confidants’ MNDA in its entirety in conjunction with a 🔏 Witness of Consent Affidavit) constitutes the entire agreement between the parties and supersedes any prior understandings or agreements, whether written or oral. This Agreement may not be amended or modified except in a writing signed by both parties.

There is also a deposit for 300 by Amin on 1/7/24 and apparently no related transfer to Ricardiam although per charter 10% (122.
Finally, there is a 500 less Stripe fee) on Feb. 2nd 2024, with 300 paid to the KW cardholders account of which you are the sole cardholder. That leaves $135 residual.
Totaling all the residual in the above gives 122 + 440. The total of the 10% Ricardiam charge is 60 + 200, I would need the Directors to approve waiving this charge to credit to your account. The situation is more complicated than that, because there are various charges by you, Ben and Amin from 11-29-23 until now, and some small payments from Del and Karen that might be credited as a sponsorship to you if they confirm in writing. So it is not all that clear what amount is due to you and what might be transferred to you.
The above is not intended as a definite settlement proposal, just a preliminary accounting for discussion. I hope we can find enough to satisfy your commitment to Jillian and greater clarity going forward.
