This Agreement is effective when registered by all parties placing a recorded indication of their consent in at least one of the WikiWe Confidants 🤐 Channel or a Signal Group Confidants MNDA 2.0 (collectively the ā€œPartiesā€).

Recitals

The Parties for the purpose of settling a legal dispute wish to establish a secure data vault with clear confidentiality terms, appropriate data protections including but limited to protecting privileged communications, and End-to-End (E2E) device-level encryption.

Establishment of Family Vault

The Parties will establish a secure data vault (ā€œSettlement Vaultā€) for secure and encrypted information exchange related to their family records classified into three spaces:

  • Publishable: Access to public and private information in a publishable format
  • Confidential: For sensitive information, protected under the WikiWe Confidants MNDA 24-02 or the Signal Group Confidants MNDA 2.0
  • Protected: For protected and privileged communications and work products, between properly authorized parties.

Information in the Settlement Vault will be stored in shared space that is at least password-protected, ensuring secure and organized data management.

Secure Access Channels

For secure group communication, the Parties and their authorized representatives agree to use these channels and platforms:

  • Signal.org (Free & Open Source): For confidential and sensitive information, conference call screen sharing, timely notice, and consent verification.
  • Chat.Minds.com (Free & Open Source): A backup channel to share confidential and sensitive information.

Conflict Resolution & Choice of Law

This Agreement shall be governed by and construed in accordance with the Utah IDR 2.2, and and the Primary Dispute Resolution process (PDR) for resolving any dispute or issues arising under or in relation to this ICLA shall be resolved as provided therein.

Term & Termination

The Parties will use the Settlement Vault to advance through each phase, aiming to fully utilize the PDR and reduce the need for court involvement, unless the parties agree otherwise. A neutral party or one agreed upon by both parties will certifies a transition to a new phase and submit a notice to the court, unless the parties agree otherwise.

  • Direct Discussion Phase: Commences with mutual agreement and continues through settlement discussions.
  • Record Discovery Phase: Collaborative discussions and data sharing to assemble the relevant documents.
  • Conciliation Phase: If discussions breakdown, conciliation shall be directed to a fair resolution based on the mutually accepted principles and agreements, including at least the Principles of Peacemaking.
  • Arbitration Phase: If conciliation is unsuccessful, an arbitrator may be appointed according to Utah IDR 2.2 and shall be directed to adjudicate a fair resolution based on the mutually accepted principles and agreements, including at least the Principles of Peacemaking.
  • Settlement Phase: Documenting the settlement and notifying the related parties.

Notice

Notice under this Agreement shall be effective when sent to the Signal number noted below or later specified in effectiveĀ written notice provided to a Party, or by other notice with acknowledgement of receipt.
